IMPORTANT NOTICE REGARDING ARBITRATION AGREEMENT: THESE TERMS OF USE CONTAIN A MANDATORY ARBITRATION AGREEMENT, REQUIRING YOU TO RESOLVE ANY DISPUTE BETWEEN YOU AND CODEDROID THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION, SUBJECT TO LIMITED EXCEPTIONS, RATHER THAN IN COURT, AND REQUIRING YOU TO FOREGO JURY TRIALS, CLASS, COLLECTIVE, AGGREGATE, REPRESENTATIVE, OR CONSOLIDATED ACTIONS OR PROCEEDINGS, AND ALL OTHER TYPES OF COURT PROCEEDINGS OF ANY AND EVERY KIND. YOU WILL BE BOUND BY THIS ARBITRATION AGREEMENT, UNLESS YOU OPT OUT OF THE ARBITRATION AGREEMENT BY FOLLOWING THE OPT-OUT PROCEDURES SET FORTH BELOW. BY ENTERING THIS AGREEMENT, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND ALL OF THE TERMS OF THE ARBITRATION AGREEMENT AND HAVE TAKEN TIME TO CONSIDER THE CONSEQUENCES OF THIS IMPORTANT DECISION.

2. Dispute Resolution: Binding Individual Arbitration; Class Action & Jury Trial Waiver ("Arbitration Agreement")

PLEASE READ THIS SECTION CAREFULLY. This section contains a "class action waiver" and "jury trial waiver" provision that requires disputes to be resolved on an individual basis through binding arbitration.

You and CodeDroid agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services ("Dispute") will be resolved exclusively through final and binding arbitration, except for disputes that qualify for small claims court. This arbitration agreement is governed by the Federal Arbitration Act ("FAA") and will be administered by a recognized arbitration organization.

Opt-Out Procedures. You can choose to reject this Arbitration Agreement by sending CodeDroid a written opt-out notice ("Opt-Out Notice") within thirty (30) days following the date you first agree to these Terms of Use by mail at 1900 McCarthy Blvd, Milpitas, CA 95035 or by email at huans@codedroid.com. If mailed, the Opt-Out Notice must be postmarked no later than thirty (30) days following the date you first agree to these Terms of Use. To be effective, the Opt-Out Notice must contain your name, address, and signature. If you opt-out of the Arbitration Agreement, all other parts of these Terms of Use will continue to apply to you. Opting out of this Arbitration Agreement has no effect on any previous, other, or future arbitration agreements that you may have with CodeDroid.

3. Changes to the Terms of Use

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our Services after any changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically to stay informed of any updates.

14. Indemnification

You agree to indemnify, defend, and hold harmless CodeDroid and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

Except as provided in Section 2, if any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms of Use will continue in full force and effect.

These Terms of Use constitute the sole and entire agreement between you and CodeDroid regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
